Welcome to Manhattan G. These Terms of Service (these Terms) govern your access to and use of the Manhattan G website, features, tools, and services available at manhattang.com (together, the Platform).
In these Terms, Manhattan G, we, us, and our refer to the owner and operator of the Platform. You and your refer to any person who accesses or uses the Platform.
By accessing, browsing, connecting a wallet, creating an account, minting, listing, buying, selling, transferring, or otherwise using the Platform, you agree to these Terms. If you disagree, please do not use the Platform.
NFT means a non-fungible token or similar blockchain-based digital item authenticated on a public blockchain and generally governed by smart contract logic.
A wallet means a third-party digital wallet or wallet address you use to interact with blockchains.
Content means any text, images, artwork, metadata, files, links, and other materials displayed on or submitted through the Platform.
Use means accessing, viewing, interacting with, or engaging with the Platform, whether passively or actively.
Manhattan G provides a web-based platform that enables users to discover, view, and interact with blockchain- based items and related content. Manhattan G does not custody digital assets, does not control public blockchains, and does not guarantee that any transaction will complete.
Manhattan G is not a bank, payment processor, money transmitter, broker, dealer, exchange, investment adviser, or financial institution. Manhattan G does not provide financial, legal, or tax advice.
You must be at least 18 years old to use the Platform. If you are not at least 18, you may not use the Platform.
You are responsible for ensuring your use of the Platform is permitted in your jurisdiction.
Your wallet address functions as your identity for blockchain interactions. If the Platform offers user accounts, you are responsible for maintaining the confidentiality of your login information and for all activity associated with your account and wallet.
You agree to provide accurate information where the Platform requests it and to keep it updated.
You must use a third-party wallet to perform blockchain transactions. Manhattan G does not operate or control wallets or their contents. You are solely responsible for safeguarding your wallet, private keys, seed phrase, and any associated credentials.
The Platform may display or link to third-party services, sites, applications, smart contracts, or content. Manhattan G does not control them and is not responsible for their availability, security, legality, or performance. Your use of third-party services is at your own risk and subject to their terms.
We may modify, suspend, or discontinue any part of the Platform at any time, temporarily or permanently, with or without notice. We are not liable for any inability to access the Platform or any modification, suspension, or discontinuation.
We may restrict access to the Platform for security, compliance, operational, or risk management reasons.
Blockchain transactions are typically irreversible. You are responsible for verifying all transaction details before you submit them, including wallet addresses, network selection, contract addresses, and transaction fees.
You acknowledge that blockchain fees, including network fees, are paid to third parties and are non-refundable. Manhattan G cannot reverse or refund blockchain fees.
Manhattan G does not guarantee the authenticity, uniqueness, legality, quality, or value of any NFT or digital item. You are responsible for doing your own research before any transaction.
By submitting or displaying Content on or through the Platform, you grant Manhattan G a worldwide, non- exclusive, royalty-free, sublicensable license to host, store, reproduce, display, transmit, and use that Content as reasonably necessary to operate, promote, improve, and provide the Platform and related services.
You retain ownership of your Content, subject to the rights you grant in these Terms and any rights embedded in NFT smart contracts.
Use the Platform to facilitate illegal activity.
Upload or display content that is hateful, violent, or intended to harass or threaten others.
The Platform, including its design, text, graphics, logos, and software, is owned by Manhattan G or its licensors and is protected by applicable intellectual property laws.
Subject to your compliance with these Terms, Manhattan G grants you a limited, revocable, non-transferable, non-sublicensable license to access and use the Platform for personal or internal business use as permitted by the Platform’s intended functionality.
Nothing in these Terms transfers any ownership rights in the Platform to you.
You agree to comply with all applicable laws, rules, and regulations. You represent that you are not prohibited from using the Platform under applicable sanctions or restrictions in your jurisdiction.
We may request information to support compliance and risk controls. If you fail to provide the requested information, we may restrict your access.
Your use of the Platform is at your own risk. The Platform is provided as is and as available. To the fullest extent permitted by law, Manhattan G disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
Manhattan G does not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components.
To the fullest extent permitted by law, Manhattan G will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses arising out of or related to your use of the Platform.
To the fullest extent permitted by law, Manhattan G’s total liability for any claim arising out of or related to the Platform or these Terms will not exceed the greater of:
the fees paid by you to Manhattan G, if any, in the six months preceding the event giving rise to the claim, or One hundred United States dollars.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You and Manhattan G agree to try to resolve disputes informally first by contacting us through the Platform contact method listed on manhattang.com.
If a dispute cannot be resolved informally, you and Manhattan G agree that any dispute arising out of or related to these Terms or the Platform will be resolved by binding arbitration on an individual basis, unless prohibited by applicable law. You and Manhattan G waive any right to a jury trial and agree not to bring claims as a class action, collective action, or representative proceeding.
The arbitration will be administered by a neutral arbitration provider selected by Manhattan G, and conducted under that provider’s applicable rules, unless you and Manhattan G agree otherwise. The arbitrator may award relief only on an individual basis.
Nothing in this section prevents either party from seeking injunctive or equitable relief for misuse of intellectual property or unauthorized access to systems, where permitted by law.
We may suspend or terminate your access to the Platform at any time if we believe you have violated these Terms, created risk, or used the Platform unlawfully.
Sections that by their nature should survive will survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. No Waiver. Failure to enforce any provision is not a waiver.
Entire Agreement. These Terms, along with any policies posted on the Platform and incorporated by reference, form the entire agreement between you and Manhattan G regarding the Platform.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations.
